• MERGERS AND ACQUISITIONS (M&A)
• Advisory, transaction structuring and documents relating to setting up of new company, joint venture, strategic alliance, merger, de-merger etc.;
• Documentation support including drafting and reviewing of share purchase agreement, share subscription agreement, shareholder agreement, joint venture agreement, business transfer agreement etc.;
• Advisory support on technology and know-how license agreements, service agreements, marketing and distribution agreements, manufacturing agreements, confidentiality agreements, non-compete agreements, and escrow agreements;
• Regulatory including advisory and compliance support on issues of FEMA, RBI, DIPP, Companies Act etc.
• VENTURE CAPITAL TRANSACTIONS
• Advising on structure, laws and regulations to be complied with and regulatory approvals required for such transactions;
• Conducting due diligence on the target entity and presenting red flag report to the management;
• Drafting and negotiating transaction definitive documents, term sheets, and all necessary corporate action documentation;
• Assisting in the closing of the transactions and compliance of post closing obligations.
• DUE DILIGENCE
• Conducting extensive due diligence in relation to joint venture and acquisition transactions, hiving off of business and project financing in various parts of the country.
• CORPORATE AND COMMERCIAL ADVISORY
• Assisting and advising offshore entities in setting up wholly-owned subsidiary, branch office or liaison office in India;
• Advising on structure, laws and regulations to be complied with, regulatory approvals required, drafting and negotiating transaction agreements;
• Advising on foreign direct investment and employment and labour laws as applicable in India;
• Drafting and vetting of legal documents.
