1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Stackforce, Inc. ("Stackforce," "we," "us," or "our") governing your access to and use of the Stackforce platform, website, and related services (collectively, the "Services").

By creating an account or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

2. Description of Service

Stackforce is an AI-powered recruiting platform that autonomously sources, evaluates, and engages candidates on behalf of hiring teams. Our Services include but are not limited to:

  • AI-driven candidate sourcing from publicly available professional databases
  • Automated candidate evaluation, scoring, and skill assessment
  • Personalized outreach campaign generation and management
  • Candidate pipeline management and collaboration tools
  • Predictive hiring intelligence and analytics

3. User Accounts & Responsibilities

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain the security and confidentiality of your login credentials
  • Immediately notify us of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unauthorized purposes.

4. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:

  • Use the Services to discriminate against candidates based on protected characteristics (race, gender, age, disability, religion, national origin, or any other protected status)
  • Attempt to reverse-engineer, decompile, or extract source code from the Services
  • Scrape, copy, or redistribute candidate data obtained through the Services for purposes outside of legitimate recruiting
  • Use the Services to send unsolicited commercial messages or spam
  • Interfere with or disrupt the integrity or performance of the Services
  • Misrepresent your identity or affiliation when using the Services
  • Share your account credentials with unauthorized third parties

5. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, software, AI models, algorithms, and documentation — are owned by Stackforce or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. This license does not include the right to sublicense, modify, or create derivative works based on the Services.

6. AI & Candidate Data Disclaimer

The Services use artificial intelligence to source, analyze, and evaluate candidate profiles. While we strive for accuracy, you acknowledge and agree that:

  • AI-generated assessments, scores, and recommendations are informational and should not be the sole basis for hiring decisions
  • Candidate data is sourced from publicly available information and may not always be current or complete
  • You are responsible for verifying candidate information and conducting your own due diligence before making hiring decisions
  • You must comply with all applicable employment and anti-discrimination laws when using the Services

7. Third-Party Services

The Services may integrate with or contain links to third-party websites, services, or content (including LinkedIn, GitHub, and other professional platforms). We are not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is subject to their respective terms and policies.

8. Fees & Payment

Certain features of the Services may require payment of fees. All fees are stated at the time of purchase and are non-refundable unless otherwise specified. We reserve the right to change pricing at any time with reasonable notice. Failure to pay applicable fees may result in suspension or termination of access to paid features.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STACKFORCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Stackforce and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may terminate your account at any time by contacting us at support@stackforce.co. We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately, and we may delete your account data in accordance with our data retention policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and, where appropriate, notify you via email or through the Services. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
